1. Agreement to Terms

By accessing or using the Bowyy platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including creators seeking financing and investors participating in financing deals.

2. Description of Service

Bowyy operates a marketplace that connects content creators with buyers of future revenue receivables (each such buyer, referred to elsewhere on the platform as an “investor”). Creators sell defined portions of their future revenue streams to buyers under a Receivables Purchase Agreement, with repayments collected automatically as a percentage of monthly revenue until the agreed cap is reached.

Bowyy is not a bank, lender, broker-dealer, investment advisor, money transmitter, or securities issuer. Receivables Purchase Agreements facilitated through Bowyy are true sales of future receivables — not loans, securities, investment contracts, or extensions of credit. No interest accrues on any transaction, and creators have no personal obligation to repay beyond the actual revenue collected subject to the agreed cap.

3. Eligibility

To use the Service you must be at least 18 years old and capable of forming a binding legal contract. By creating an account, you represent that you meet these requirements.

Investors must qualify as accredited investors under applicable securities laws. By completing investor onboarding, you represent that you meet the accreditation criteria you selected.

4. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

We reserve the right to terminate accounts that violate these Terms or that have been inactive for an extended period.

5. Creator Financing

Creators who receive financing through the platform agree to the following:

  • Accurately report monthly revenue by the 5th of the following month
  • Authorize automated collection of the agreed repayment percentage
  • Maintain connected platform accounts in good standing throughout the financing period
  • Not knowingly underreport revenue to reduce repayment obligations

Financing offers are subject to underwriting review and may be modified or withdrawn at any time prior to acceptance. Accepted offers create a binding Revenue Financing Agreement.

Origination service fee. Bowyy charges a one-time origination service fee, currently $199, which is deducted from the creator's advance at the time of disbursement. The fee covers underwriting, document preparation, identity verification, and account servicing setup. The amount deposited in the creator's bank account is the agreed advance less this fee (for example, on a $50,000 advance the creator receives $49,801). The fee is disclosed in the Revenue Financing Agreement signed by the creator. Bowyy reserves the right to modify the origination service fee for future originations with reasonable notice.

6. Receivables Purchasing

a. Nature of the transaction. Bowyy operates a marketplace where eligible buyers may purchase a portion of a creator's future revenue receivables ("Receivables") pursuant to a Receivables Purchase Agreement entered into directly between the buyer and the creator. Each purchase is a true sale of a specified dollar amount of future Receivables for a fixed purchase price, and is not a loan, an extension of credit, a security, or an investment contract. No interest accrues on any purchase, and no portion of the purchase price is recoverable except from the creator's actual collected revenue.

b. No personal guarantee, no fixed schedule. The creator's repayment obligation is limited to the agreed cap multiple applied to the creator's reported revenue, collected at the agreed rate of revenue. The creator does not personally guarantee any minimum return, fixed repayment schedule, or specific payment date. If the creator's revenue is lower than projected, your return may be lower and slower than expected. If the creator's revenue ceases entirely, you may receive less than your purchase price and may lose your entire purchase.

c. No guarantee of performance. Bowyy makes no representation or warranty regarding the future revenue, business prospects, audience health, or creditworthiness of any creator. Underwriting scores, projections, deal multiples, and category labels presented on the marketplace are informational only and do not constitute advice, a recommendation, or any guarantee of performance. You are solely responsible for evaluating each Receivable before purchase.

d. Servicing only — Bowyy is not a counterparty. Bowyy acts as the servicer of Receivables Purchase Agreements and collects repayments on behalf of buyers. Bowyy is not a counterparty to your purchase, is not a guarantor of any creator's obligation, and does not assume any portion of the creator's repayment obligation. If a creator fails to report revenue or fails to remit a collected payment, Bowyy will exercise reasonable commercial efforts to pursue collection but does not guarantee recovery.

e. Eligibility and accreditation. Receivable purchases are open only to buyers who satisfy the accreditation criteria selected during onboarding and who maintain valid bank and identity verification with the platform. By purchasing a Receivable you represent and warrant that the criteria you selected remain true as of the date of purchase. Bowyy reserves the right to suspend or terminate buyer access where eligibility cannot be verified.

f. Settlement and cancellation. Once you commit a purchase and the deal reaches the funding threshold disclosed in the deal terms, Bowyy will initiate an ACH debit from your linked bank account for the committed purchase amount. Once funds are debited, the purchase is final and non-cancellable except where required by law. You authorize Bowyy and its payment processors to debit your linked account for the committed purchase amount.

g. Distributions and tax. Bowyy will distribute repayments to you as they are collected from the creator, net of the spread described in Section 7 and any disclosed servicing fees. You are solely responsible for the tax treatment of any amounts received and for any reporting obligations that apply to you. Bowyy may issue informational tax forms (such as IRS Form 1099-K or 1099-MISC) where required by law, but you should not rely on those forms as tax advice.

h. Not insured. Amounts purchased through the platform are not deposits, are not insured by the FDIC, SIPC, NCUA, or any government or private guaranty fund, and are not protected against loss arising from a creator's failure to generate sufficient revenue. There is no investor-protection scheme covering Bowyy purchases.

i. No resale or transfer. Receivables purchased through the platform are not transferable to third parties without Bowyy's prior written consent. There is no secondary market and no liquidity for purchased Receivables prior to repayment by the creator.

j. No advisory relationship. Nothing on the platform — including marketing materials, underwriting scores, deal commentary, or communications from Bowyy personnel — constitutes investment, financial, legal, or tax advice. You should consult your own advisors before making any purchase. By purchasing a Receivable you acknowledge that you have independently evaluated the risks and have determined the purchase is suitable for your financial situation.

7. Platform Economics and Spread Disclosure

Bowyy operates as a marketplace and generates revenue through a spread between the total repayment obligation of the creator and the amount returned to buyers. This spread is built into the deal terms at origination and is not charged as a separate fee.

When a creator enters into a Revenue Financing Agreement, the cap multiple applied to the creator's repayment obligation is higher than the return multiple offered to buyers. The difference — the spread — is retained by Bowyy as compensation for underwriting, servicing, and platform operation.

The spread varies by underwriting band and currently ranges from 0.03x to 0.15x on the funded amount, with higher-risk deals carrying larger spreads. Expressed as a share of each collected repayment, Bowyy's portion ranges from approximately 2.7% to 9.4% per dollar collected.

For example, a deal underwritten in the highest band may carry a creator cap of 1.13x and an investor return of 1.10x, leaving Bowyy a 0.03x spread (approximately 2.7% of each repayment). A deal underwritten in a lower band may carry a creator cap of 1.60x and an investor return of 1.45x, leaving Bowyy a 0.15x spread (approximately 9.4% of each repayment).

The exact spread applied to any deal is disclosed in the deal terms visible to buyers before purchase, and in the Revenue Financing Agreement signed by the creator. Bowyy reserves the right to modify its spread structure for future transactions with reasonable notice.

8. Connected Accounts and Data

By connecting third-party accounts (YouTube, Patreon, Twitch, Instagram), you authorize us to access analytics and revenue data from those platforms for underwriting purposes. We will only access data necessary for evaluating financing applications.

We store only the minimum data required and do not post to, modify, or otherwise interact with your connected accounts.

9. Prohibited Conduct

You agree not to:

  • Provide false or misleading information in any application or report
  • Attempt to manipulate analytics data connected to your account
  • Use the Service for any unlawful purpose
  • Interfere with the operation of the platform
  • Attempt to gain unauthorized access to any part of the Service

10. Intellectual Property

The Service and its original content, features, and functionality are owned by Bowyy and are protected by applicable intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.

11. Limitation of Liability

To the maximum extent permitted by law, Bowyy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or revenue, arising from your use of the Service.

Our total liability to you for any claim arising from these Terms or the Service shall not exceed the fees you paid to us in the twelve months preceding the claim.

12. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in class action proceedings.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or through the platform. Continued use of the Service after changes take effect constitutes acceptance of the new Terms.
